Terms & Conditions

Last updated: December 15, 2025

1. Introduction

These Terms and Conditions (“Terms“) govern your use of the website https://www.nexovetech.com/ (“Website“) and all services, products, and solutions provided by Nexovetech (“Company“, “we“, “us“, “our“).

By accessing our Website, requesting a quotation, signing a proposal/SOW, or using any of our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Website or services.

2. Services

Nexove Tech is an IT/technology company providing services such as (as applicable to you):

  • Software / web / mobile development
  • IT consulting and advisory
  • Cloud, DevOps, infrastructure, and deployments
  • Support, maintenance, and monitoring
  • Other custom IT and digital solutions

The scope of work, timelines, deliverables, and commercials for each project or engagement will be defined in a separate Proposal / Quotation / Statement of Work (“SOW”), which will form part of these Terms once accepted by you.

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with reasonable notice where practical.

3. Engagement & Approval

An engagement is confirmed when:

  • you accept our proposal / SOW in writing (including email approval), or
  • you pay any advance / initial invoice, or
  • you sign a contract, work order, or purchase order referencing our proposal.

Any changes to scope (change requests, additional features, third‑party integrations, etc.) may impact timeline and cost and will be handled through written change approvals.

4. Payment Terms

4.1 Pricing

All prices, fees, and charges will be communicated in the proposal/SOW or on the invoice. Prices are generally exclusive of all applicable taxes (GST/VAT, service tax, etc.) unless explicitly stated otherwise. Any such taxes will be charged in addition as per law.

4.2 Invoicing & Schedule

Depending on the nature of work, the payment structure may be:

  • Milestone-based (e.g., % on signing, % on design sign‑off, % on UAT, etc.), or
  • Time & Material (T&M) (billing based on actual hours/days spent), or
  • Retainer / monthly for ongoing services and support.

Exact payment schedule will be set out in the proposal/SOW or invoice, and forms part of these Terms.

4.3 Payment Methods

We may accept payment via bank transfer, UPI, cheque, card, payment gateway, or other methods communicated to you in writing or on the invoice. You are responsible for any bank charges, gateway charges, currency conversion fees, or similar fees unless otherwise agreed.

4.4 Due Dates & Late Payments

Unless otherwise stated on the invoice, payment is due within [X] days from the invoice date (e.g., 7/14/30 days – replace [X] as per your policy). Delayed payments may attract:

  • late payment interest at [X]% per month on the overdue amount, and/or
  • temporary suspension of services, access, or deliveries until dues are cleared.

4.5 Non‑Payment / Default

If payment remains unpaid beyond the agreed period, we may:

  • pause or terminate the project,
  • withhold deliverables, code, or documentation,
  • disable hosting or access (where applicable), and/or
  • initiate legal or collection actions to recover dues.

4.6 Refunds

Due to the custom and service-based nature of IT work, payments made are generally non‑refundable. Any refunds, if considered, will be at the sole discretion of Nexove Tech and only in exceptional cases (e.g., duplicate payment), and limited to the amount received for the specific refundable component.

6.3 Open-Source & Third‑Party Components

Some solutions may use open‑source or third‑party libraries/services subject to their own licenses/terms. You agree to comply with such licenses and terms. We are not liable for any changes, pricing, or limitations imposed by such third‑party providers.

6.4 Portfolio & Marketing

Unless you explicitly forbid it in writing, Nexove Tech may showcase your project name/logo and non‑confidential work in our portfolio, website, and marketing material.

7. Confidentiality & Data Protection

7.1 Confidential Information
